The Michigan Council of Teachers of Mathematics provides public voice and leadership to support and advance high quality teaching and learning of mathematics.

ARTICLE I: NAME
The name of this organization shall be the Michigan Council of Teachers of Mathematics, hereafter referred to as the Council.

ARTICLE II: PURPOSES
The purpose of the Council shall be
1. to encourage an active interest in mathematics and its teachings, and to work toward the improvement of mathematics education programs in Michigan.

2. to provide a medium for exchange of views and facts about current problems, techniques, and experimental programs in the teaching of mathematics.

3. to further cooperative experimentation and study of problems related to the teaching of mathematics of all levels; and to assist in the development, coordination and carrying out of a sustained program for improving instruction in mathematics through the provision of such aids as meetings, bulletins, research studies, and information services.

4. to encourage and assist other state and national organizations concerned with mathematics education at all levels.

ARTICLE III: AFFILIATION
The Council shall be affiliated with The National Council of Teachers of Mathematics, and may affiliate with other professional organizations as long as there is no conflict of interest with the Council.

ARTICLE IV: MEMBERSHIP
Section 1. Any person who is interested in mathematics shall be eligible for membership in the Council.

Section 2. The Executive Board shall establish various types of membership in the Council, determined the fee for each, and designate the derived benefits.

ARTICLE V: OFFICERS
The officers of the Council shall consist of a President, Past-President, President-Elect, Recording Secretary, Treasurer, Regional Directors, and Vice Presidents.

ARTICLE VI: EXECUTIVE BOARD
Section 1. The Executive Board shall consist of the officers of the Council and the Mathematics Specialist of the Michigan Department of Education. The Mathematics Specialist shall be an ex officio member.

Section 2. Duties
The Executive Board shall have general supervision of the activities of the Council, supervise the expenditure of funds, fix bonds of officers, fill interim vacancies on the Executive Board, and make all appointments not specifically designated to the President.

Section 3. Decisions of the Executive Board shall be made by a majority vote.

ARTICLE VII: NOMINATIONS AND ELECTIONS
The Nomination and Election Committee shall present a ballot listing nominations for offices. These ballots will be mailed to the entire membership. The results of the election shall be published in MATHEMATICS IN MICHIGAN.

ARTICLE VIII: MEETINGS
Section 1. General Business Meetings
  • A. There shall be at least one Annual Business Meeting of the Council.

  • B. Business meetings of the Council may be called by the Executive Board or by a petition to the President of 50 or more Council members.

  • C. Business of the Council may be transacted at the Annual Business Meeting or at any meeting of the Council called and announced to the Council membership at least 30 Days prior to said meeting.

  • D. A quorum for any Council business meeting shall be those members present.
Section 2. Executive Board Meetings
  • A. The Executive Board shall meet at least once each year.

  • B. Executive Board meetings shall be called by the President or by petition to the President by four or more members of the Executive Board.

  • C. Business of the Executive may be transacted at any Executive Board meeting called and announced to its members at least 15 days prior to said meeting.

  • D. A quorum for an Executive Board meeting shall be one half of the Board′s voting members.
ARTICLE IX: AMENDMENTS
Section 1. A resolution for an amendment to the constitution may be introduced by petition of fifty (50) members of the Council or by a majority of the Executive Board. The resolution shall be publicized and distributed to the membership at least twenty (20) calendar days prior to the voting date. An Affirmative vote by two-thirds of the members of the Council who vote is required to adopt the resolution as an amendment.

Section 2. By-laws consistent with the constitution will be maintained by the Executive Board. A resolution for an amendment to the by-laws may be introduced by a petition of fifty (50) members of the Council, or by a majority vote of the Executive board. The resolution shall be publicized and distributed to the membership at least twenty (20) calendar days prior to the voting date. Establishment and abolition of by-laws require a two-thirds vote of the total membership of the Executive Board.

Section 3. Unless otherwise stated in the resolution, all amendments shall take effect the day after adoption.

ARTICLE X: DISSOLUTION CLAUSE
If at any time the Council shall cease to carry out the purpose herein stated, all assets and property held by it, whether in rust or otherwise, shall, after payment of its liabilities, be paid over to an organization, selected by the final Executive Board of the Council, which has similar purposes and has established its tax-exempt status under Section 501(c) (3) of the Internal Revenue Code of 1954 as now enacted or as it may hereafter be amended, and such assets and property shall be applied exclusively for such charitable, scientific, and educational programs.
